The Senior Counsel – Corporate Governance and Commercial Legal role will provide strategic legal support and advice on all corporate governance matters and other commercial legal affairs relating to the company.  In particular, the individual will supervise and proactively manage the company’s global corporate governance actions and requirements, including compliance with applicable laws and regulations in the various jurisdictions.  Also, the individual will serve as a strategic partner to various business units by supporting and interfacing with project teams on various commercial legal matters.  This is a US ONLY Remote or Mobile role.


Your Day to Day:

Corporate Governance

  • Prepare agendas and materials for all board and committee meetings, including collaborating with members of senior management in developing and/or reviewing materials provided to the board and committees.
  • Assist in conducting appropriate pre-meeting briefings/reviews with board/committee meeting presenters regarding meeting materials and conduct.
  • Track board/committee meeting attendance and prepare/maintain corresponding minute books.
  • Oversee and direct corporate governance actions for subsidiaries/affiliates.
  • Ensure compliance with laws and regulations applicable to corporate governance and governance best practices.
  • Perform periodic maintenance on the global corporate legal entity structure, including eliminating redundant legal entities.
  • Support the company’s (i) merger and acquisition transactions; and (ii) finance/treasury functions.
  • Prepare and maintain the schedule for board and committee meetings, including corresponding with board members and other stakeholders.
  • Respond to requests for corporate governance information from various stakeholders both within and outside of the company.
  • Provide support and analysis as directed by the corporate secretary.
  • Travel domestically and internationally on an as-needed basis.

Commercial Legal

  • Serve as a strategic partner to various business units by supporting and interfacing with project teams within the various organizations of the company along with customers, vendors and outside counsel.
  • Review, analyze, negotiate and draft complex commercial agreements.
     on an as needed basis.
  • Identify and advise on legal risks associated with commercial engagements.
  • Collaborate with internal project management groups and business teams to achieve corporate objectives.
  • Train and advise management on legal and compliance matters and risk mitigation efforts.
  • Travel domestically and internationally


Who You Are:

  • Juris Doctor with strong academic credentials from an accredited law school
  • Minimum of 3 years of corporate governance experience
  • Licensed attorney in at least one state
  • Excellent leadership, communication and organizational skills
  • Strong knowledge of substantive areas of law related to corporate governance
  • Strong negotiation, problem solving and analytical skills
  • Proactive, independent and able to collaborate with others
  • Proficient with Microsoft office and related applications
  • Strong legal research, analysis and writing abilities
