The Director, Integration & Corporate Development will  lead integrations and carve-outs, as well as have the unique and rare opportunity to practice, develop, and enhance competencies across the full M&A transaction lifecycle: from target identification, through due diligence, valuation, negotiation, integration or carve-out planning, and execution.  The Director, Integration & Corporate Development will have day-to-day responsibility for integrating acquired companies into Westinghouse, or carving-out businesses targeted for divestiture, and ensuring a successful transition to achieve the strategic rationale, value drivers, synergies, and other desired business outcomes for the transaction. The role develops an integration (or carve-out) strategy and converts that strategy into detailed execution plans that align people, process, assets, agreements, and systems across the company.  In collaboration with the sponsoring Business leader or their designee, the Director, Integration & Corporate Development will lead the Integration Management Office or Separation Management Office, as appropriate.


Additionally, this role will be responsible for supporting the development and execution of Westinghouse’s M&A strategy from deal concept through closing and initial integration process.  Scope of activities include collaboration with BU leaders to develop and refine strategy for inorganic growth, developing and maintaining a prioritized portfolio of acquisition targets, assessment of targets, leading cross functional teams through the transaction lifecycle, including due diligence and valuation, and may be called upon to lead or support negotiations.  Reporting to the VP and Global Head of Corporate Development and Strategy, they will work closely with the Westinghouse’s CFO, CEO, and private equity owners and will partner with executive sponsors to identify potential targets, complete comprehensive assessment of targets, develop transaction approach strategies, valuation models, and materials to inform investment decisions. This is a US ONLY Remote role and will be expected to travel for business needs.


Your Day to Day:

Integrations and carve-outs responsibilities

  • Establish Integration or Separation Management Office (IMO or SMO) and governance structure.  Manage the overall process, timing, and governance for pre- and post-transaction integration activities in a disciplined and structured manner, including conducting regular team meetings, monitoring status, providing updates to the executive steering committee, and driving proactive escalation and resolution of key issues
  • Build and manage relationships with the acquired entity’s operating leaders and teams to drive post-merger integration and synergies realization activities. 
  • In a divestiture scenario, similarly, develop relationships and drive operational separation activities.
  • Interact directly with Westinghouse and acquisition target principals, and their functional leaders to develop operating model for the integrated enterprise, and the plans to realize the operating model
  • Actively lead and support all functional workstream leaders in HR, IT, Finance, Legal, Supply Chain, Facilities, EHS, Communications and their respective teams to develop and adapt comprehensive and appropriately detailed integration plans and projects linked to key deal value drivers, then coordinate and manage all cross-functional dependencies, priorities and budgets associated with each. Operate seamlessly between strategic and tactical, working effectively to:
  • Monitor and track project progress against project deliverables; communicate project status, including roadblocks, milestones, successes with all project stakeholders
  • Proactively manage and escalate issues as required; continuously identify dependencies and project risks.
  • Coordinate project logistics including scheduling meetings, updating timelines, communicating deliverables, distributing materials, etc.
  • Ensure collaboration and information sharing among workstreams through transparency and effective communication
  • Serve as a trusted advisor and key resource to functional integration leaders, ensuring collaboration and information sharing among workstreams by managing cross-functional relationships through transparency, effective communication, and frequent updates
  • Develop measurable KPIs to track and report achievement against the integration plan
  • Support transition of post-transaction integration scope and activities to Business Unit nominated executive at the appropriate time, and serve as an advisor for duration of integration timeframe
  • Continuously improve Westinghouse’s M&A integration capabilities by identifying and developing process improvements, best practices, tools, and templates that capture learnings, increase the efficiency and effectiveness of the team, and improve the quality of the integration effort and business outcomes

Corporate Development and M&A responsibilities

  • Work with executive sponsor, executive team, private equity owners, and a cross functional team of leaders for delivery of high-quality M&A transactions within an established strategic, financial, and risk criteria.
  • Leverage experience and acumen and lead all phases of M&A process for transactions worldwide, including engagement with target, due diligence, financial modeling and analysis, quality of earnings, valuation, and acquisition business case development.
  • Support or lead negotiations to effectuate the execution of deals
  • Lead and motivate a highly talented team of analysts that have the expertise, business knowledge, financial sophistication, and entrepreneurial drive to add significant value both within the Global Strategy and M&A function as well as future leaders across Westinghouse


Who You Are:

  • Bachelor’s degree required
  • MBA or advanced degree preferred
  • At least 5 years of experience leading integrations and carve-outs
  • 10 or more years of management experience, including experience in the pre-signing phases of an M&A transaction
  • PMP certification desirable but not required
