The Senior Counsel, Americas OPS will interface with our Business Unit clients, as well as other in-house and external counsel, contracts and compliance professionals and will act as strategic partner, supporting the offer development process, internal governance matters, and other legal and contractual matters that arise during project execution and commercial disputes. The Senior Counsel, Americas OPS will  interface with and support all business segments and functions within OPS and GOS, as well as corporate center functions, Global Supply Chain Services, and the various other organizations within Westinghouse. 

 

Your Day to Day:

  • Identifying risk to the enterprise and devising strategies to mitigate or eliminate such risk while achieving business objectives.
  • Reviewing, analyzing, and negotiating commercial agreements, including supply agreements, technical services contracts, nondisclosure agreements, software licensing & development agreements, financing agreements, acquisition agreements, divestiture agreements and teaming agreements.
  • Drafting terms of complex, large project customer contracts and translation of prime contract sales terms as appropriate to suppliers and vendors. Experience in developing supply chain master or blanket agreements for critical long lead material procurements.
  • Work closely with and manage outside counsel in the United States and worldwide to ensure effective and efficient representation of Westinghouse in disputes and other matters.
  • Lead complex negotiations with domestic and international customers and suppliers.
  • Promptly advise management on legal risks associated with business transactions.
  • Partner with internal project management groups and business teams to achieve corporate objectives.
  • Develop Expertise to advise management on regulatory compliance issues and associate risks and mitigation plans.

 

Who You Are:

  • J.D. from an accredited law school.
  • Minimum 5 years of experience in a majority of the above-noted areas, either in-house, at an international company, in a law firm, or both.  Successful candidate will have experience in providing legal advice on the full scope of commercial business issues. 
  • Admitted to practice in a US jurisdiction is required.  If not currently admitted in Pennsylvania, a successful candidate would need to have the ability to be licensed in Pennsylvania.
  • Experience providing exceptional service to corporate clients, with demonstrated ability to develop strategic relationships across the organization and experience addressing emerging challenges in a practical, risk-informed manner.
  • Experience in general commercial law and commercial dispute resolution is required, including advising clients on the sale of goods and services, the Unform Commercial Code, common law contracts and torts, and litigation practice and procedure. 
  • Experience drafting and reviewing high-quality legal documents.
  • Highly developed analytical and communication skills, both verbal and written.
  • Expert negotiation skills and experience resolving disputes.
