We are seeking an experienced commercial legal practitioner  to provide comprehensive, high-quality, timely, and practical advice on legal matters to internal clients engaged in the delivery of mission-critical products, services and solutions to support our costumers in the safe and efficient generation of nuclear power throughout EMEA.

 

The Senior Counsel will interface with our Business Unit clients, as well as other in-house and external counsel, contracts and compliance professionals and will act as strategic partner, supporting the offer development process, internal governance matters, and other legal and contractual matters that arise during project execution and commercial disputes. The Senior Counsel will  interface with and support all business segments and functions within LTO and OMS, as well as corporate center functions, Global Supply Chain Services, and the various other organizations within Westinghouse.

Your Day to Day:

  • Represent the company in complex negotiations with domestic and international customers and suppliers.  Areas of expertise include commercial contracts (including NEC4 contracts), such as supply agreements, technical services contracts, nondisclosure agreements, software licensing & development agreements, financing agreements, acquisition agreements, divestiture agreements and teaming agreements, and relevant claims. Knowledge of UK public procurements processes is a plus.
  • Provide prompt, practical, and risk-informed advice and counsel to internal clients on commercial and other legal issues affecting the LTO/OMS Business Units. 
  • Identifying legal risk risks associated with business transactions and devising strategies to mitigate or eliminate such risk while achieving business objectives.
  • Act as strategic legal partner to business leaders in the LTO/OMS Business Units, understanding the business environment and challenges to facilitate top-quality legal advice and excellent client service, to achieve corporate objectives.
  • Remain current on legal developments within scope of responsibilities and provide updates to clients as warranted.  Develop and implement policies and programs and conduct training on legal issues as necessary for the business.
  • Work closely with and manage outside counsel to ensure effective and efficient representation of Westinghouse in disputes and other matters
  • Supervise and manage outside counsel as appropriate. 
  • As necessary, identify and engage with legal and compliance specialists to mitigate legal risks to the company in the areas of ethics, antibribery, antitrust, trade compliance and export controls, sanctions, data privacy, environment, health and safety matters, and in any type of government enforcement process.

 Who You Are: 

  • Minimum 5 years of experience in a majority of the above-noted areas, either in-house, at an international company, in a law firm, or both.  In-house experience with a major international company is preferred.

Successful candidate will have experience in providing legal advice on the full scope of commercial business issues, including contract drafting, negotiations, joint ventures, claims and disputes, etc.

  • Admission to practice in an European country is required. Admission to practice in England & Wales is highly desirable. Familiarity with NEC4 contracts and experience practicing UK laws is critical.
  • Experience providing exceptional service to corporate clients, with demonstrated ability to develop strategic relationships across the organization and experience addressing emerging challenges in a practical, risk-informed manner.
  • Experience drafting and reviewing high-quality legal documents, including commercial agreements of all types, memoranda, company policies, training materials, and presentations for management.
  • Highly developed analytical and communication skills, both verbal and written.
  • Expert negotiation skills and experience resolving disputes.
