About the role:
As a Principal Contracts Consultant EMEA you will be the Legal and Compliance (L&C) primary contact for sales activities for assigned customers across the Europe, Middle East and Africa (EMEA) region, including supporting the Business Sales personnel with customer contracting strategies at the offer development stage, during customer contract negotiations, and other daily contract advisement.
You will support the Long-Term Operations (LTO) & Outage & Maintenance Services (OMS) business but shall also assist with contracting support to other BU sales segments.
You will report to the Global Contracts Manager and be located at Madrid, Spain.
Hybrid position with a mix of on-site and off-site model.
Main Responsibilities:

Know, understand, and practice the standards and related policies contained in Westinghouse "Codes of Business Ethics & Conduct."

Analyze complex and unique customer contracting requirements to assess commercial, legal and technical risks, and develop commercial measures and strategies that balance business risks and rewards for complex global business initiatives consistent with Westinghouse Legal & Compliance requirements.

Develop and implement intellectual property and proprietary information provisions to maximize Westinghouse value in the global marketplace.

Support customer negotiations of contract terms and conditions.

Complete the Contract Review Evaluation Tool (CRET), and Risk Assessment Worksheets on behalf of Legal, and assist BU partners with developing appropriate risk mitigation responses.

Assist BU Sales leads with presentations to executive management for obtaining approvals for recommended contract positions, including deviations from Westinghouse Baseline contracting principles, under our company Limits of Authority (LOA) process.

Support preparation and negotiation of complementary agreements including NDAs, licensing agreements, teaming agreements, master services or frame agreements, and commercial settlement agreements, and assist supply chain personnel with identification and assessment of customer flowdown requirements in supplier contracts.

Perform final reviews of contract documents to support the order acceptance process and advise on identified concerns, including required additional approvals.

Advise on authorized personnel to sign contract documents on behalf of the applicable Westinghouse company entity and help prepare powers of attorney documents when needed.

Support the order turnover / contract handover process; prepare contract summary documents / job aids, for major contracts to support BU commercial and project personnel with risk assessments and contract administration activities throughout the contract lifecycle.

Support resolution of new contract issues identified during project execution. Coordinate resolution within Legal & Compliance, BUs and other stakeholder groups.

Collect and analyze contract trends with customers and competitors and lessons learned and provide ongoing feedback to Legal & Compliance leads for applicable policies.
Qualifications:
-
5 + years’ experience in contract analysis, contract management, terms and conditions (T&C), project, risk management, engineering and commercial sales disciplines.

Up to 25% travel to support BU contract negotiations or meetings with other Westinghouse partners.

English language verbal and written communication skills are critical for this position.
Regular communications are required with Westinghouse personnel and customers outside of Spain, including the ability to review English language contract documents and draft responses to those contracts.
